Terms and Conditions
1) General
1.1) Once work has been booked, no changes in scope of work can be arranged without prior Management approval.
1.2) These terms and conditions supersede any other agreements, arrangements or understandings (whether written or oral).
1.3) Our normal business hours are Monday to Friday 07h00 – 17h00. An overtime surcharge of 15% shall apply on the overall invoice amount (including any other additional charges) for any operations carried out:
on a local Public Holiday;
or on a Saturday or Sunday;
and/or any hours worked before or after the above times noted.
1.4) All rates quoted are calculated from the time that the dive team mobilise / leave the offices until the time of their return, i.e., including travel time unless otherwise negotiated.
1.5) Dive time turn-arounds provided are not guaranteed but are to be treated as estimates only. The Company will not accept any liability or responsibility should any estimated time provided be exceeded for any reason whatsoever.
1.6) In regard to any underwater cleaning operations, the quotation and estimated number of days/hours are purely indicative and subject to:
the vessel’s arrival time;
the vessel’s arrival draft;
the vessel’s fouling status or degree, nature, and size of fouling;
the actual weather conditions and currents experienced during the operation.
1.7) The quotation provided assumes a normal degree of fouling. The Customer agrees that the type and degree of fouling found at the time of the survey may influence the time frames provided. The Customer accepts that PT SOLUSI SELAM GLOBAL reserves the right to add additional charges to the final invoice in relation to excessive fouling found.
1.8) If any job is completed and there is no cure, payment as per quotation still stands. The “No Cure No Pay” rule DOES NOT apply.
1.9) All scopes of work completed at anchorage are weather-dependent. PT SOLUSI SELAM GLOBAL does not accept any liability for delays outside of its control, including weather.
1.10) No diving is carried out without the receipt of firm orders in writing.
1.11) On acceptance of the quotation, all terms and conditions attached are accepted.
2) Quotation Validity and Confirmation
2.1) Unless otherwise agreed in writing, a quotation provided by PT SOLUSI SELAM GLOBAL may be accepted up to seven (7) days from the quotation date, after which PT SOLUSI SELAM GLOBAL reserves the right to amend or withdraw without notice.
3) Underwater Survey
When completing a CCTV Survey, all required readings are taken provided there is sufficient access. Sufficient access is classified as the diver being able to insert his arm into the pintle area opening. This is necessary so the diver can remove obstacles or fouling and obtain accurate readings.
The dive team will not cut into or re-weld any opening on the vessel. These requirements must be addressed during quotation negotiations. This quotation excludes all costs for cutting and re-welding of openings unless otherwise stated.
4) Hull Cleaning and Propeller Polishing
4.1) All cleaning is completed only up to the waterline at the time of the dive team’s attendance.
4.2) PT SOLUSI SELAM GLOBAL cannot offer live videoing or video feeds of the cart rider or the cleaning process during a hull clean due to safety concerns and the low visibility during operations.
4.3) A propeller clean is offered during the hull clean. If a propeller polish is required, the Customer must notify the office during quotation; additional time may be required.
4.4) To ensure timely attendance, vessels should arrive and be ready for divers by 06h00 on Day 1 of cleaning.
4.5) The vessel must provide necessary assistance to ensure safe and timely setup of the dive support barge alongside.
5) Additional Costings
Additional charges may be added to the final invoice including:
Overtime if applicable
Additional scopes of work
Standby times caused by the vessel, client, or their representatives
Cancellation due to client reasons or bad sea/weather conditions (strong current, wind, or high swell): USD 5,000 cancellation fee
If work is delayed due to client reasons or unfavourable sea/weather conditions, a standby fee of USD 500 per day will be charged.
6) Delivery
PT SOLUSI SELAM GLOBAL will use reasonable endeavours to complete delivery of the service. Delivery dates or periods quoted are estimates and depend on timely receipt of all Customer information, materials, and necessary permits. PT SOLUSI SELAM GLOBAL accepts no liability for loss or damage resulting from delays.
7) Payment Settlement Notes
7.1) The Client agrees to pay PT SOLUSI SELAM GLOBAL the fees specified in the quotation within the set terms of the invoice without set-off, deduction or discount.
7.2) Unless otherwise agreed in writing, all amounts are payable upfront before commencement of the work.
7.3) Late payment will incur 20% monthly interest, prorated daily.
7.4) If payment is late, all discounts will be revoked and the original invoice amount will fall due.
7.5) PT SOLUSI SELAM GLOBAL may issue progress invoices for labour and materials, and may place undelivered materials into bond and invoice the full value.
7.6) PT SOLUSI SELAM GLOBAL may issue a notice of default requiring payment of outstanding fees and all costs incurred for enforcement, including legal fees.
7.7) All bank charges are for the payer’s account.
8) Price
8.1) All quotations are exclusive of VAT or similar taxes.
8.2) Quotations are estimates only and do not include incidental charges unknown at the time of quotation.
9) Site Charges and Assumptions
9.1) Charges assume continuous, uninterrupted, and unhindered access to personnel, equipment, the vessel, and all required areas, including bridge and engine rooms for lockout procedures.
9.2) The Client agrees to pay for all additional costings arising from Clause 5 and for any interruptions or delays caused by the Client, its employees, agents, or other trades.
9.3) If PT SOLUSI SELAM GLOBAL is delayed by events outside its control, it is entitled to a reasonable extension of time.
10) Customer Responsibilities
10.1) The Client shall notify PT SOLUSI SELAM GLOBAL of all concealed pipes, cables or services in the work area. In the absence of such notice, PT SOLUSI SELAM GLOBAL accepts no liability and the Client indemnifies the Supplier for any resulting claims.
10.2) The Client shall ensure the vessel and worksite are safe environments, free from asbestos or hazardous contamination, including unhealthy discharges such as dirty ballast water.
10.3) The Client must provide access to the vessel and job site as required. Failure to do so may result in standby charges.
11) Liability
11.1) The Client enters this contract on behalf of itself and as agent/trustee for its contractors, servants, sub-contractors, vessel, master, owners, and charterers.
11.2) The Client shall indemnify PT SOLUSI SELAM GLOBAL against all claims, costs, and demands arising out of or relating to the goods or services provided. This indemnity applies even in cases involving negligence or acts of PT SOLUSI SELAM GLOBAL or its agents. The Company’s liability shall not exceed the price quoted.
11.3) PT SOLUSI SELAM GLOBAL reserves the right to stop operations if the supervisor or management considers the work unsafe.
12) Title / Risk of Loss / Insurance
Risk of loss passes to the Client when goods or components are placed in the Client’s possession. The Client must insure such items for no less than the full amount owed, with loss payable to PT SOLUSI SELAM GLOBAL.
13) Defaults
If the Customer refuses delivery or defaults, PT SOLUSI SELAM GLOBAL may retain all monies paid as liquidated damages. If the Customer fails to pay when due or breaches any obligation, PT SOLUSI SELAM GLOBAL may declare all unpaid amounts immediately due, repossess goods, suspend work, or offset debts across related entities. Waiver of one breach is not a waiver of future breaches.
14) Force Majeure
14.1) PT SOLUSI SELAM GLOBAL is not liable for non-performance or delays caused by events beyond its reasonable control, including strikes, disputes, fire, flood, war, weather, sabotage, riot, state action, road or port closures, or other uncontrollable circumstances.
14.2) Work will resume once the force majeure event has passed. PT SOLUSI SELAM GLOBAL is not liable for delays or fines imposed on the vessel or its representatives due to such events.
15) Acceptance
These terms and conditions shall be deemed binding on the Customer upon ordering any products or services from PT SOLUSI SELAM GLOBAL. Any dispute arising out of or in connection with these terms shall be finally resolved by arbitration in Singapore in accordance with the SIAC Rules. The governing law shall be the law of Singapore.
